These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Evidite, Inc. ("Company," "we," "us," or "our") governing your access to and use of all Evidite products and services, including CitateScreen, CitateGenie, QuotateGenie, BluebookGenie, CitateVerifier, BlindnoteGenie, and any related websites, applications, and services (collectively, the "Service").

We strive to maintain continuous service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
To use the Service, you must create an account by providing a valid email address and creating a password. You represent and warrant that:
You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Notify us immediately of any unauthorized access at security@evidite.com.
We require email verification to activate your account. Verification links expire after 24 hours. You must use a valid email address that you control.
Each user may maintain only one account. Creating multiple accounts to circumvent usage limits, obtain additional free credits, or for any other purpose is prohibited and may result in termination of all associated accounts.
The Service operates on a credit-based model. Each document processed consumes one (1) credit. Credits must be purchased in advance and are non-refundable except as required by law.

Prices are in U.S. dollars and are subject to change. Any price changes will apply only to future purchases, not to credits already purchased.
New users receive ten (10) free credits upon account creation. This bonus is provided once per user and cannot be combined with other promotions. Free credits expire six (6) months from the date they are granted.
All payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. We do not store your full payment card information. Stripe's privacy policy governs their handling of your payment data.
Purchased credits expire six (6) months from the date of purchase. Expired credits are forfeited and cannot be refunded or reinstated.
Credits are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us at billing@evidite.com within 30 days.
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for processing documents you own or have authorization to process for academic, professional, legal, or personal research purposes.

To ensure fair access, we impose reasonable usage limits including a maximum of 10 purchases per day and a maximum credit balance of 120 credits. Exceeding these limits may result in temporary suspension.
You retain all ownership rights in documents you upload. By uploading a document, you grant us a limited, non-exclusive license to process the document solely to provide the Service. This license terminates when processing is complete.
We do not permanently store your uploaded documents or processed output. Documents exist in our systems only during active processing. You are responsible for downloading and saving your results.
The Service provides screening results, not guarantees. You are solely responsible for reviewing all output before acting on it. We are not liable for any decisions made in reliance on the Service's output.
The Service, including all software, algorithms, methodologies, user interfaces, and documentation, is protected by copyright, patent, trade secret, and other intellectual property laws. "Evidite," "CitateScreen," "CitateGenie," "QuotateGenie," "BluebookGenie," "CitateVerifier," "BlindnoteGenie," and related marks are trademarks of Evidite, Inc.
The technology underlying the Service is the subject of three (3) pending patent applications (82 claims). Unauthorized use, reproduction, or reverse engineering may constitute patent infringement.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include any right to modify, copy, reverse engineer, or create derivative works of our technology.
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
Your privacy is important to us. Our collection, use, and protection of your information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be accurate, complete, reliable, current, or error-free. Citation screening is a complex process that may produce incorrect results. You assume all risk associated with reliance on the Service.
The Service queries third-party databases and APIs. We are not responsible for the accuracy, availability, or reliability of these third-party sources.
The Service does not provide legal, academic, medical, or professional advice. The output is informational only and should not be relied upon as a substitute for professional judgment.
To the maximum extent permitted by law, in no event shall Evidite, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, goodwill, use, or data. Our total cumulative liability to you shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless Evidite, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
You may terminate your account at any time by contacting us at support@evidite.com. Upon termination, unused credits are forfeited.
We may suspend or terminate your account immediately, without notice, if you breach these Terms, if we are required to do so by law, or if we discontinue the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Before initiating any formal dispute resolution, you agree to contact us at legal@evidite.com and attempt to resolve the dispute informally for at least 30 days.
Any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Wilmington, Delaware.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
We may modify these Terms at any time. When we make material changes, we will update the "Effective Date" and notify you via email. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Evidite, Inc. regarding the Service. If any provision is held invalid, the remaining provisions shall continue in full force and effect.
